Dispute Resolution by Binding Arbitration

The purpose of this section of this Privacy Policy is to provide a streamlined method for resolution of disputes between us if they arise.

Most user concerns can be quickly resolved to your satisfaction by contacting our customer service representatives. In the unlikely event that we cannot resolve a concern to your satisfaction (or if we cannot resolve a concern we have with you after attempting to do so informally), then you and the Company agree to be bound by the following procedures to resolve any and all disputes between us. By accepting these terms, you and the Company expressly waive the right to a trial by jury or to participate in a class action. This section of this Privacy Policy covers any and all disputes between us ("Claims"), including without limitation:

  • Claims arising out of or relating to any aspect of the relationship between us, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory;

  • Claims that are currently the subject of purported class action litigation in which you are not a member of a certified class; and

The only Claims that are not covered by this section of this Privacy Policy are the following:

  • a Claim to enforce or protect, or concerning the validity of, any of your or the Company´s intellectual property rights;
  • a Claim related to, or arising from, allegations of theft, piracy, invasion of privacy or or unauthorized use; and
  • Any claim for equitable relief.

You agree that, in the event any Claim arises out of or relating to this Privacy Policy, you and the Company will attempt in good faith to negotiate a written resolution of the matter directly between the parties for at least thirty (30) days before initiating arbitration.

If you and the Company are unable to resolve a Claim through informal negotiations within such thirty (30) day period, either you or the Company may elect to have the Claim finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other.

The arbitration will be conducted under the Streamlined Arbitration Rules and Procedures of JAMS that are in effect at the time the arbitration is initiated (the "JAMS Rules").

You may seek any remedies available to you under federal, state or local laws in an arbitration action. As part of the arbitration, both you and the Company will have the opportunity for discovery of non-privileged information that is relevant to the Claim. The arbitrator will provide a written statement of the arbitrator´s decision regarding the Claim, the award given and the arbitrator´s findings and conclusions on which the arbitrator´s decision is based. The determination of whether a Claim is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. You and the Company may litigate in court to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate or enter judgment on the award entered by the arbitrator. The arbitrator´s decision shall be final, binding on all parties and enforceable in any court that has jurisdiction, provided that any award may be challenged if the arbitrator fails to follow applicable law.

You and the Company agree that any arbitration shall be limited to the Claim between the Company and you individually. YOU AND THE COMPANY AGREE THAT (a) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; (b) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY OR AS A PRIVATE ATTORNEY GENERAL; AND (c) NO ARBITRATION SHALL BE JOINED WITH ANY OTHER ARBITRATION.

The arbitration will take place in your hometown area if you so notify the Company in your notice of arbitration or within ten (10) days following receipt of the Company´s arbitration notice. In the absence of a notice to conduct the arbitration in your hometown area, the arbitration will be conducted in Los Angeles, California, unless the parties agree to video, phone and/or internet connection appearances.

Dispute Resolution for Residents of the European Union

If you are a resident of the European Union, in the event that you have any dispute or claim arising out of or relating to this Privacy Policy, you may report your claim to the European Union Data Protection Authorities located in your jurisdiction.

Notification of Changes

This Privacy Policy may change from time to time and the revised Privacy Policy will be made available through the Site.
